Sometimes, some of the employees of a company have access to the information that, although it’s not protected by the legal ways of protection (copyright, trademark and patent), consists in the "soul" of the company. Channels of distribution, production systems, files, etc, everything that is considered Trade Secret and can be protected. The companies which already have ISO certification are used to "Rules, Instructions, Manuals and Registers". The development of the Trade Secret consists on the organization of confidential information and the elaboration of specific contract for its protection (these contracts will be firmed between the employees that have access to such information and the company, being able to include partners and suppliers).
In this way, trade secret is the best procedure to keep commercial and industrial valuable information out of the knowledge of third people. It possess formal protection in the Brazilian right in vigor as it follows:
Art. 195 of Brazilian Law 9.279/96, considers crime the act of who:
XI - divulges, explores or uses, without authorization, the knowledge or confidential information or data, usable in the industry, commerce or rendering of services, that had access by means of contractual or employment relation, even after the ending of the contract, excluded those that are of public knowledge or that are evident for one skilled in the art;
XI - divulges, explores or uses, without authorization, the knowledge or information related to the previous interpolated proposition, gotten by illicit ways or by having access by means of fraud.
